Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between you and Tera Compute Inc. ("Tera," "we," "us," or "our") governing your use of our model inference API services, dashboard, and website (collectively, the "Services"). By creating an account, generating an API key, or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. The Services

Tera provides large language model inference through API endpoints, along with a dashboard for managing API keys, usage, and billing. We host open-weight models; the models themselves are licensed by their respective publishers, and your use of model outputs may also be subject to those model licenses.

3. Accounts and API Keys

  • You must provide accurate account information and keep it current.
  • You are responsible for all activity under your account and API keys. Keep keys secret; do not embed them in client-side code or public repositories.
  • Notify us promptly at hello@tera.gw if you believe a key or account has been compromised. You can revoke keys at any time from the dashboard.
  • You must be at least 13 years old (or the applicable minimum age in your jurisdiction) to use the Services.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation, or infringe the rights of others.
  • Generate content for illegal activity, including fraud, malware, or exploitation.
  • Attempt to probe, disrupt, or circumvent the security, rate limits, or billing of the Services.
  • Resell raw access to the Services without our written agreement (building products on top of the API is encouraged; rebadging the API itself is not).
  • Misrepresent model-generated output as human-authored where doing so causes harm or violates law.

We may suspend or terminate access that violates this section.

5. Billing and Credits

  • Usage-based pricing: The Services are billed by token usage at the rates published on our website or agreed with you directly. Posted rates may change; changes apply prospectively, never retroactively.
  • Credits: Prepaid credits are non-refundable except where required by law, and promotional credits may expire as stated at issuance.
  • Payment: Payments are processed by Stripe. You authorize us to charge your payment method for usage and credit purchases.
  • Disputes: Billing disputes must be raised within 60 days of the charge.

6. Your Content

You retain all rights to the prompts you submit and, as between you and Tera, the outputs returned to you. We claim no ownership over either. We process request and response content only to operate the Services, as described in our Privacy Policy — we do not train models on your data and we do not sell it.

7. Service Availability

We work hard to keep the Services fast and available, but they are provided without an uptime guarantee unless we have signed a separate service-level agreement with you. We may modify, suspend, or discontinue features with reasonable notice where practical.

8. Disclaimers

THE SERVICES AND ALL MODEL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MODEL OUTPUTS ARE GENERATED AUTOMATICALLY AND MAY BE INACCURATE OR INAPPROPRIATE; YOU ARE RESPONSIBLE FOR EVALUATING OUTPUTS BEFORE RELYING ON THEM.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You will indemnify and hold Tera harmless from claims arising out of your content, your use of the Services in violation of these Terms, or your violation of applicable law.

11. Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access for violation of these Terms, non-payment, or where required by law. Sections 6, 8, 9, 10, and 12 survive termination.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms at this URL with a revised effective date; material changes will be announced through the dashboard or by email. Continued use of the Services after changes take effect constitutes acceptance.
